Terms of Service
1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and VoiceRoam, operated from India ("VoiceRoam," "we," "us," or "our") governing your access to and use of the VoiceRoam landing page located at voiceroam.vercel.app (the "Site") and your participation in the VoiceRoam beta waitlist program (collectively, the "Service").
By accessing the Site or submitting your email address to join the waitlist, you confirm that:
- You have read, understood, and agree to be legally bound by these Terms in their entirety
- You are at least 18 years of age
- You have the legal capacity to enter into a binding agreement
If you do not agree to these Terms, you must immediately stop using the Site and may not submit your information to the waitlist.
These Terms govern only the landing page and waitlist service. If you are later granted access to the VoiceRoam beta application or any released version of the application, those services will be subject to separate, additional agreements presented to you at that time.
2. Description of the Service
The Site is a pre-launch information page through which VoiceRoam invites interested individuals to register their email address to receive notifications about the future launch of the VoiceRoam mobile application - a self-guided audio tour service.
The Service is limited strictly to:
- Presenting information about VoiceRoam and its planned features
- Collecting your email address for launch and beta notification purposes
- Accepting optional tour suggestion submissions via any feedback form provided (subject to the terms in Section 6)
- Presenting promotional offers to waitlist signups, subject to the terms in Section 3A
The Service does not include:
- Access to the VoiceRoam application or any of its features
- Any guarantee, entitlement, or reservation of access to the beta program or the launched application
- Any paid transaction, subscription, or commercial relationship. Promotional offers such as free tours do not constitute a paid or commercial relationship.
3. No Representations or Guarantees of Future Services
VoiceRoam makes no promise, representation, warranty, or guarantee, express or implied that:
- The VoiceRoam application will be launched at any time or at all
- Submitting your email entitles you to beta access, early access, discounted pricing, or any other benefit
- Any specific feature, tour, or route described on the Site will be included in any future product
- The waitlist will remain open for any specific period of time
Any descriptions of planned features, tours, or launch timelines on the Site are aspirational and informational only. They do not constitute contractual commitments. VoiceRoam reserves the right to modify, postpone, or cancel any described plan at any time and without prior notice, except as provided in Section 12 of these Terms.
3A. Promotional Offers
VoiceRoam may, at its sole discretion, present promotional offers (such as free audio tours) to individuals who join the waitlist during a specified promotional period. These offers are subject to the following terms:
- All promotional offers are subject to availability and may be modified, suspended, or withdrawn by VoiceRoam at any time without prior notice.
- Promotional offers are personal to the individual who signed up and are non-transferable, non-exchangeable, and carry no cash or monetary value.
- VoiceRoam reserves the sole right to define the method, timing, and conditions of redemption for any promotional offer. Redemption details will be communicated at or before the time of app launch.
- Promotional offers apply only to users who submitted their email during the period in which the offer was actively displayed on the Site. VoiceRoam is not obligated to extend any offer to users who signed up before or after the promotional period.
- VoiceRoam makes no guarantee that the app will launch or that conditions required to fulfil a promotional offer will be met. In the event that the app does not launch or the offer cannot be fulfilled for any reason, VoiceRoam shall have no liability, and no financial compensation or alternative benefit shall be owed.
- The existence of a promotional offer does not create a paid transaction, subscription, or commercial relationship between you and VoiceRoam.
4. Eligibility and Age Restriction
The Service is available only to individuals who are 18 years of age or older. By using the Site or submitting your email address, you represent and warrant that you meet this requirement.
VoiceRoam does not knowingly collect information from individuals under 18. If we discover that a person under 18 has submitted information, we will delete that information immediately. If you are aware of such a submission, notify us at moonshot364@gmail.com.
5. User Conduct and Prohibited Activities
By using the Site, you agree to use it solely for its intended, lawful purposes. You represent that you will not, directly or indirectly:
Automated and Non-Human Activity
- Access, use, scrape, crawl, spider, index, or interact with the Site or any form on it using any automated tool, bot, script, macro, or non-human mechanism of any kind
- Submit the same or multiple email addresses using automated means or with the intent to artificially inflate the waitlist
- Bypass, circumvent, or attempt to defeat any rate-limiting, CAPTCHA, or anti-bot protection on the Site
Security and Integrity
- Attempt to gain unauthorised access to the Site, its underlying servers, databases, infrastructure, or connected third-party systems
- Probe, scan, test, or otherwise assess the vulnerability of the Site or its associated systems without prior written authorisation from VoiceRoam
- Introduce or transmit any virus, malware, ransomware, spyware, trojan, or other harmful or disruptive code or content
- Attempt to intercept, monitor, or interfere with communications between the Site and its users or servers
- Conduct or facilitate any denial-of-service or distributed denial-of-service (DDoS) attack
Misuse and Misrepresentation
- Submit another person's email address without their explicit knowledge and consent
- Impersonate VoiceRoam, its team, or any other person or entity in any communication or submission
- Use the Site in any way that violates any applicable local, national, or international law or regulation
- Use the Site in any manner that could damage, disable, overburden, or impair its functionality or the experience of other users
VoiceRoam reserves the right to block, restrict, or remove any submission, and to take appropriate legal action, in response to any violation of this Section.
6. Feedback and User Submissions
The Site may include a mechanism for you to voluntarily submit tour suggestions or other feedback ("Feedback"). Submission of Feedback is entirely optional.
Intellectual Property and Feedback
By submitting any Feedback, you grant VoiceRoam a perpetual, worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, adapt, publish, translate, distribute, and incorporate your Feedback into our products and services without restriction, attribution, or compensation. You retain ownership of your Feedback but acknowledge that VoiceRoam has no obligation to use it, credit you, or compensate you.
VoiceRoam may use, reproduce, modify, adapt, publish, translate, distribute, and commercialise your Feedback for any purpose, without restriction, without attribution to you, and without any compensation to you.
Warranties on Feedback
By submitting Feedback, you represent and warrant that:
- The Feedback is your own original work
- You have the full right and authority to make the assignment above
- The Feedback does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
- The Feedback does not contain any confidential or proprietary information belonging to a third party
You agree to indemnify and hold VoiceRoam harmless from any claim, cost, or liability arising from a breach of the above warranties.
7. Intellectual Property
All content, materials, and assets on the Site including but not limited to the VoiceRoam name, logo, brand identity, visual design, written copy, audio samples, tour scripts, itineraries, maps, graphics, software, and all other works of authorship are the exclusive property of VoiceRoam and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret laws.
Nothing in these Terms or on the Site grants you any licence, right, or interest in any VoiceRoam intellectual property, whether by implication, estoppel, or otherwise. You may not:
- Reproduce, copy, distribute, republish, or publicly display any VoiceRoam content without prior written permission
- Use the VoiceRoam name, logo, or any confusingly similar mark in any manner
- Modify, create derivative works from, reverse engineer, decompile, or disassemble any VoiceRoam software or content
- Remove, alter, or obscure any copyright, trademark, or other proprietary notice on the Site
Any unauthorised use of VoiceRoam intellectual property constitutes a material breach of these Terms and may give rise to legal liability.
8. Disclaimer of Warranties
THE SITE AND ALL CONTENT AND SERVICES AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
To the fullest extent permitted by applicable law, VoiceRoam expressly disclaims all warranties, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Any warranty that the Site will be available, uninterrupted, timely, secure, or error-free at any time
- Any warranty that defects or errors will be corrected
- Any warranty regarding the completeness, of any information on the Site
VoiceRoam makes no warranty of any kind that the waitlist submission will be received, stored, or processed successfully, and accepts no liability for failed submissions due to technical failure, connectivity issues, or any other cause outside of its control.
Note for EU/EEA Users: Nothing in this Section excludes or limits any warranty implied by law that cannot lawfully be excluded or limited under the applicable mandatory consumer protection laws of your jurisdiction. Your statutory rights are not affected.
9. Limitation of Liability
To the fullest extent permitted by applicable law, VoiceRoam, its directors, officers, employees, agents, affiliates, and licensors shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunity
- Damages arising from reliance on information on the Site
- Damages arising from unauthorised access to or alteration of your information
- Damages arising from failure to launch, delay in launching, or cancellation of the VoiceRoam application
- Any other losses, whether based in contract, tort (including negligence), strict liability, or any other legal theory
Aggregate Liability Cap
In all cases, VoiceRoam's total aggregate liability to you for any claim arising out of or related to these Terms or the Service shall not exceed the total amount you have paid to VoiceRoam in the twelve (12) months preceding the claim. Since the waitlist service is provided free of charge, this amount is zero (€0) in the case of waitlist users who have made no payment.
For EU/EEA consumers, VoiceRoam's liability shall not be limited below the minimum required by the mandatory consumer protection laws of your country of habitual residence, including but not limited to liability for damages caused by intentional misconduct or gross negligence.
Note for EU/EEA Users: Nothing in this Section excludes or limits VoiceRoam's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under the mandatory consumer protection laws of your jurisdiction. Your statutory rights are not affected.
10. Indemnification
You agree to defend, indemnify, and hold harmless VoiceRoam and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use of or access to the Site
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your Feedback submissions and any breach of the warranties in Section 6
- Any claim that your submitted Feedback infringes the rights of a third party
This indemnification obligation applies to the fullest extent permitted by applicable law. Nothing in this Section creates obligations beyond what is permitted under the mandatory consumer protection laws of your jurisdiction.
11. Third-Party Services and Links
The Site may contain links to third-party websites or services. VoiceRoam does not control, endorse, or accept responsibility for any third-party content, websites, services, or privacy practices. Any interaction you have with a third-party site is solely between you and that third party, and you access such links entirely at your own risk.
VoiceRoam uses third-party service providers (including Vercel for hosting, Unsplash for media content delivery and Brevo for email management) to operate the Service. These providers are governed by their own terms and privacy policies.
12. Waitlist Cancellation and App Launch
VoiceRoam reserves the right, at its sole and absolute discretion, to:
- Cancel, suspend, or discontinue the waitlist at any time
- Postpone or cancel the launch of the VoiceRoam application if circumstances - including but not limited to regulatory, technical, financial, or commercial factors make it inadvisable or impossible to proceed
- Modify the scope, features, pricing, or availability of any future product
In the event of permanent waitlist cancellation, VoiceRoam will make reasonable efforts to notify registered email addresses before or upon cancellation. However, VoiceRoam does not guarantee that such notification will be delivered, and you acknowledge that no financial compensation, alternative service, or contractual remedy shall be owed to you in the event of cancellation. Your right to request deletion of your personal data under our Privacy Policy and applicable data protection law is unaffected.
13. Modifications to These Terms
VoiceRoam reserves the right to modify these Terms at any time. When changes are made, we will update the "Last Updated" date at the top of this document.
If changes are material, we will make reasonable efforts to notify waitlist members by email. Your continued use of the Site after any modification constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site and may request deletion of your data per our Privacy Policy.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. VoiceRoam selects Spanish law as the governing law because the Service is directed primarily at users visiting Spain and relates to tours of Spanish locations.
Mandatory EU Consumer Rights: If you are a consumer resident in the European Economic Area (EEA), you may also benefit from any mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms deprives you of any protection afforded to you by such mandatory provisions. Under the Brussels I Regulation (Recast) (EU 1215/2012), EU consumers retain the right to bring proceedings in the courts of their habitual residence regardless of any jurisdiction clause in these Terms.
15. Dispute Resolution
Informal Resolution First
Before initiating any formal legal proceeding, you agree to first contact VoiceRoam at moonshot364@gmail.com and provide a written description of the dispute and your desired resolution. VoiceRoam will attempt to resolve the matter informally within 30 calendar days of receiving your notice. If the dispute is not resolved within that period, either party may proceed as described below.
Jurisdiction
Subject to the mandatory EU consumer rights preserved in Section 14, any dispute, controversy, or claim arising out of or relating to these Terms or the Service that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of Spain.
EU Online Dispute Resolution
As required under EU Regulation 524/2013, VoiceRoam notes that the European Commission provides an Online Dispute Resolution (ODR) platform, accessible at https://ec.europa.eu/consumers/odr. VoiceRoam is not currently obligated to participate in ADR proceedings, but the platform remains available to EU consumers as an informational resource.
16. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed from these Terms if modification is not possible. The remaining provisions shall continue in full force and effect. The invalidity of any one clause shall not affect the validity of the remainder of the Terms.
17. Entire Agreement
These Terms, together with our Privacy Policy (incorporated herein by reference), constitute the entire agreement between you and VoiceRoam with respect to the Site and the waitlist service. They supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to the Service.
No failure or delay by VoiceRoam in exercising any right under these Terms shall constitute a waiver of that right.
